Terms of Service
These terms govern use of Donna, a service operated by YUGI GREEN LTD (Company No. 516051620), Israel — referred to below as "we" or "us". By connecting an Amazon selling account to Donna, you agree to them.
1. The service
Donna reads inventory, sales, and advertising data from an Amazon selling account you authorize, analyses it, and delivers alerts and recommendations to you.
2. You remain in control of your account
Donna does not change prices, edit listings, modify advertising campaigns, place inventory orders, or take any other write action on your Amazon account on its own initiative. Recommendations are delivered to you, and nothing is submitted to Amazon without your explicit approval.
3. Authorization
You grant access through Amazon's authorization flow, and you may withdraw it at any time from within Amazon Seller Central. Withdrawal ends our ability to read your account immediately. You confirm that you are authorized to grant access to the selling account you connect.
4. Your responsibilities
- Keep your Amazon credentials secure. Donna never asks for your Amazon password, and you should never provide it to us or to anyone else.
- Use the service in compliance with Amazon's own policies and agreements, and with applicable law.
- Do not attempt to use the service to access data belonging to an account you do not control.
5. Recommendations are advisory
Donna's alerts, forecasts, and recommendations are generated from historical account data and are provided for your consideration. They are not guarantees of future results, and they are not business, financial, tax, or legal advice. You are responsible for every decision you make about your account, including decisions taken after reviewing a Donna recommendation.
6. Availability
We aim to keep the service running continuously but do not guarantee uninterrupted availability. The service depends on Amazon's APIs, which may be unavailable, rate-limited, delayed, or changed by Amazon without notice. Data may therefore be incomplete or delayed at times outside our control.
7. Fees
Any fees, and the terms on which they apply, are agreed separately in writing with each customer. Where no fee has been agreed, the service is provided at no charge and may be modified or discontinued.
8. Data
Our handling of your data is described in the Privacy Policy, which forms part of these terms. Your data remains yours; we claim no ownership over it.
9. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost sales, or lost data, arising from use of the service. Our total aggregate liability arising out of or relating to the service is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim, or, where no fees were paid, to US $100.
10. Termination
You may stop using Donna at any time by withdrawing authorization in Amazon Seller Central. We may suspend or terminate access where use of the service breaches these terms, breaches Amazon's policies, or is required by law. On termination, data is deleted as described in the Privacy Policy.
11. Changes to these terms
We may update these terms. Material changes will be notified to connected customers by email before they take effect, and the effective date above will be updated.
12. Relationship to Amazon
Donna is an independent service. It is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or any of its affiliates. "Amazon" and related marks are trademarks of Amazon.com, Inc. or its affiliates.
13. Governing law
These terms are governed by the laws of the State of Israel. The competent courts of Tel Aviv–Yafo shall have exclusive jurisdiction over any dispute arising from them.
